SaaS Terms of Service

These SaaS Terms of Service (the "Terms") govern your access to and use of the SUPUP software platform, including our web dashboard, application programming interfaces ("API"), and related cloud services (collectively, the "Service"), provided by SUPUP, operated by SupUp Technologies ("SUPUP", "we", "us", or "our"). By creating an account, subscribing to a plan, or otherwise accessing the Service, you ("Customer" or "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
1. Description of the Service
SUPUP is a business-to-business Software-as-a-Service (SaaS) platform for workflow automation, data synchronization, operational intelligence, and centralized monitoring. The Service provides a unified cloud workspace, configurable automation rules, analytics, and API integrations that allow Customers to aggregate and manage their own business data.
SUPUP provides software and cloud infrastructure only. The Service is a tool that Customers operate at their own discretion and under their own control. SUPUP does not direct, supervise, or take part in any business activity, decision, or transaction that a Customer chooses to manage using the Service.
2. Accounts and Eligibility
You must provide accurate registration information and are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
The Service is intended solely for business and professional use by organizations and their authorized users. You must be at least 18 years old and capable of forming a binding contract to use the Service.
3. Software License and SUP Credits
Access to the Service is provided on a pay-as-you-go basis. Subject to your compliance with these Terms and your purchase of prepaid SUP Credits, SUPUP grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business operations.
The Service is metered using "SUP Credits", which are non-transferable, prepaid software usage units consumed by software operations such as data syncs, API calls, and automations within the platform. SUP Credits are a license to use software functionality; they hold no cash value and are not a stored-value, money-transfer, or financial instrument.
SUPUP does not charge recurring subscription fees. SUP Credits are purchased in advance and are stated exclusive of applicable taxes. Except as set out in our Refund & Cancellation Policy, fees are non-refundable.
4. Acceptable Use
Your use of the Service is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You are responsible for ensuring that your authorized users comply with these Terms.
5. Customer Data and Ownership
You retain all rights to the data you submit to the Service ("Customer Data"). You grant SUPUP a limited license to host, process, and transmit Customer Data solely as necessary to provide and maintain the Service for you, in accordance with our Privacy Policy and Data Processing Agreement.
SUPUP retains all rights, title, and interest in and to the Service, including all software, documentation, and underlying technology.
6. Software Provided "As Is"; Disclaimer of Warranties
THE SERVICE AND ALL SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPUP DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SUPUP does not warrant that the Service will be uninterrupted, error-free, or completely secure. Any uptime commitments are described solely in our Service Level Agreement.
7. Limitation of Liability
SUPUP provides software infrastructure only. SUPUP is not a party to, and is not responsible or liable for, any third-party transaction, external contract, agreement, payment, or business operation that you or your users create, negotiate, manage, or carry out using the Service. All such activities are solely between you and the relevant third parties, and you assume full responsibility for them.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUPUP AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SUPUP'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO SUPUP FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
8. Indemnification
You agree to indemnify and hold harmless SUPUP and its affiliates from any claims, damages, liabilities, and expenses arising from your Customer Data, your use of the Service, your business operations, or your breach of these Terms.
9. Suspension and Termination
You may stop using the Service and stop purchasing SUP Credits at any time; refunds for unused credits are described in our Refund & Cancellation Policy. SUPUP may suspend or terminate access for violation of these Terms or the Acceptable Use Policy, or where required by law.
Upon termination, your right to access the Service ceases. We will make Customer Data available for export for a limited period as described in our Data Processing Agreement, after which it may be deleted.
10. Changes to the Service or Terms
We may modify the Service or these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance.
11. Governing Law and Contact
These Terms are governed by the laws of Israel, without regard to conflict-of-law principles. The courts located in Israel shall have exclusive jurisdiction over any dispute.
